Toloka Platforms Referral Program Terms

These Toloka Platforms Referral Program Terms (“Program Terms”) govern your participation in the referral program that Toloka AI BV and its affiliates (collectively, “Toloka”, “we”, or “us”) make available on the Toloka Platforms, including mindrift.ai (the “Referral Program”). These Program Terms apply to you whether you participate as a Referrer, as a Referral, or both.
These Program Terms are published on the Toloka Platforms and form part of, and are incorporated by reference into, the Toloka Platforms Terms of Use available at https://mindrift.ai/legal/terms (the “Terms of Use”). Capitalized terms used but not defined in these Program Terms have the meanings given to them in the Terms of Use.
Order of Precedence. If these Program Terms conflict with the Terms of Use, these Program Terms govern solely with respect to the Referral Program, including eligibility for, and the calculation, accrual, payment, withholding, cancellation, and recovery of, Referral Rewards. In all other respects, the Terms of Use govern. The applicable Campaign Terms (defined below) govern over these Program Terms solely with respect to the campaign‑specific parameters described in Section 4.
Application; Pilot Campaigns. These Program Terms apply to all Referrals, including any Referral who registered through a Referral Link before the Effective Date as part of a pilot Campaign (a “Pilot Referral”). For each Pilot Referral: (a) the Applicable Campaign Terms are the parameters Toloka communicated in writing to participants in that pilot Campaign or, if none were communicated, the Campaign Terms first published for that Campaign after the Effective Date; (b) the Referrer must accept these Program Terms before any Referral Reward is paid; (c) Section 8 applies only to conduct after the Referrer accepts these Program Terms, without limiting Toloka’s rights under Section 9.1(b) or the Terms of Use with respect to fraud, abuse, or misrepresentation; and (d) any Referral Reward paid before the Effective Date is subject to Section 9.
BY CLICKING “I AGREE” OR A SIMILARLY NAMED BUTTON, GENERATING OR SHARING A REFERRAL LINK, OR REGISTERING ON THE TOLOKA PLATFORMS THROUGH A REFERRAL LINK, YOU ACCEPT THESE PROGRAM TERMS. PARTICIPATION IN THE REFERRAL PROGRAM IS VOLUNTARY.
If you do not agree with these Program Terms, you may not participate in the Referral Program. Your access to the Toloka Platforms under the Terms of Use is not affected by your decision not to participate.
1. Definitions.
1.1. “Referrer” means a User who meets the eligibility requirements in Section 2 and invites another person to register on the Toloka Platforms using a Referral Link.
1.2. “Referral” means a person who registers on the Toloka Platforms through a valid Referral Link, is not an Existing User, and is attributed to a Referrer under Section 3.
1.3. “Referral Link” means a personal link or code generated for a Referrer through the Toloka Platforms for a specific Campaign.
1.4. “Campaign” means a referral campaign that Toloka makes available for a specific project, and “Campaign Terms” means the parameters that Toloka publishes or makes available on the Toloka Platforms for that Campaign under Section 4.
1.5. “Referral Reward” means an amount that may accrue to a Referrer under these Program Terms. A Referral Reward is not a Payment (as defined in Section 10.1 of the Terms of Use).
1.6. “Qualifying Earnings” means the Payments a Referral receives for Tasks the Referral completes during the Reward Period that are accepted and confirmed as payable under Section 10 of the Terms of Use, whether before or after the end of the Reward Period, subject to any project limitation specified in the Applicable Campaign Terms.
1.7. “Reward Period” means the period, specified in the Campaign Terms, during which a Referral’s Qualifying Earnings count toward a Referral Reward.
1.8. “Existing User” means any person who, at the time of registering through a Referral Link, already has an account on the Toloka Platform available at mindrift.ai.
2. Eligibility.
2.1. To participate as a Referrer, you must, at the time you generate or share a Referral Link and at the time any Referral Reward accrues or is paid to you:
2.1.1. be a registered User whose account is in good standing under the Terms of Use;
2.1.2. meet any performance, quality, or other eligibility requirements specified in the applicable Campaign Terms;
2.1.3. have completed any Verifications that Toloka requires for the Referral Program or the applicable Campaign; and
2.1.4. not be subject to any active fraud, compliance, sanctions, suspension, or ban restriction on your account, including any restriction imposed under Section 2.2, Section 3, or Section 16 of the Terms of Use.
2.2. Employees of Toloka or its affiliates may not participate as Referrers under these Program Terms.
2.3. Toloka may decline, limit, or end any person’s participation in the Referral Program if Toloka reasonably determines that the person does not meet, or no longer meets, the requirements of this Section 2. Your access to the Toloka Platforms under the Terms of Use is not affected solely because you are not eligible to participate in the Referral Program.
3. Referral Attribution.
3.1. A Referral is attributed to a Referrer only if the Referral: (a) registers on the Toloka Platforms through that Referrer’s valid Referral Link for an active Campaign; (b) is not an Existing User; and (c) completes registration and any Verifications that Toloka requires.
3.2. If a person uses more than one Referral Link, the Referral is attributed to the Referrer whose valid Referral Link the person first used to register.
3.3. Attribution becomes final once the Referral has completed registration and Verification. Once final, attribution will not be transferred to another Referrer, except to correct a technical error or in cases of fraud or abuse.
3.4. Toloka’s records, as reflected on the Toloka Platforms, determine attribution, absent manifest error. If you believe a Referral has been attributed incorrectly, you must notify Toloka via the Toloka Platforms within 7 calendar days after the attribution (or absence of attribution) is displayed in your account. Notices submitted after this period may not be considered.
3.5. Registration through a Referral Link does not change the Referral’s rights or obligations under the Terms of Use, including the Payments the Referral may receive for Tasks.
4. Campaign Terms.
4.1. Toloka may make the Referral Program available through one or more Campaigns. For each Campaign, Toloka will publish or make available on the Toloka Platforms Campaign Terms that may specify: (a) the eligible project; (b) the Referral Reward percentage; (c) the Reward Period; (d) the maximum Referral Reward per Referral; (e) the Campaign duration; and (f) any Referrer eligibility requirements.
4.2. Campaign Terms may differ between Campaigns and projects.
4.3. Applicable Campaign Terms. The Campaign Terms in effect when a Referral completes registration through a Referral Link apply to that Referral for the full Reward Period (“Applicable Campaign Terms”), even if Toloka later changes, suspends, or closes the Campaign, except as provided in Section 12.3.
5. Calculation of Referral Rewards.
5.1. Subject to these Program Terms, the Referral Reward for each Referral equals the percentage specified in the Applicable Campaign Terms of that Referral’s Qualifying Earnings during the Reward Period, up to the maximum specified in the Applicable Campaign Terms.
5.2. A Referral’s registration, onboarding, completion of an assessment, or performance or submission of a Task does not, by itself, entitle the Referrer to a Referral Reward.
5.3. A Referral Reward does not reduce or otherwise affect any Payment to which the Referral is entitled under the Terms of Use.
5.4. Where a Referral receives partial Payment under Section 10.2 or Section 10.4 of the Terms of Use, only the amount accepted and confirmed as payable counts as Qualifying Earnings.
6. Accrual of Referral Rewards.
6.1. A Referral Reward accrues only after: (a) the Referral’s Task has been accepted and the related Payment confirmed as payable under Section 10 of the Terms of Use; (b) the Referrer meets the requirements of Section 2; and (c) neither the Referrer nor the Referral is subject to an active fraud, compliance, sanctions, or Verification restriction.
6.2. The status and amount of your accrued Referral Rewards will be displayed in your account on the Toloka Platforms.
7. Payment of Referral Rewards; Taxes.
7.1. Accrued Referral Rewards are paid through the standard Toloka Platforms earnings and payout process. Toloka will make each accrued Referral Reward available for you to request within 30 days after it accrues, or any shorter period required by applicable law, from the applicable third‑party payment processor using the payout details you provide.
7.2. Section 10.3 (Payment Errors), Section 10.7 (Third Party Payment Processor), Section 10.8 (Currency), and Section 10.11 (Failure to Withdraw) of the Terms of Use apply to Referral Rewards as if each reference to “Payment” in those Sections included Referral Rewards.
7.3. Payment of Referral Rewards is subject to applicable Verifications, Sanctions Laws, tax requirements, payment‑processor requirements, and other compliance requirements. Toloka may temporarily delay or withhold payment of a Referral Reward while it completes a Verification or complies with its legal obligations, consistent with Section 3.6 of the Terms of Use.
7.4. Taxes. Section 10.9 (Tax) of the Terms of Use applies to Referral Rewards. You are solely responsible for the calculation, reporting, and payment of any taxes and other charges arising from Referral Rewards, unless applicable law requires Toloka to withhold or report them. Where applicable law requires Toloka to withhold or report, Toloka may do so and may request from you the information needed for that purpose.
7.5. Referral Rewards are not salary or wages.
8. Prohibited Conduct.
8.1. In addition to the obligations in Section 2 (Use of the Toloka Platforms; Prohibited Conduct) of the Terms of Use, you agree that you will not:
8.1.1. refer yourself, including through another account, another email address, or another person acting on your behalf;
8.1.2. create, or encourage any person to create, duplicate, false, or misleading accounts, or register any person as a Referral without that person’s knowledge;
8.1.3. send unsolicited or bulk messages containing your Referral Link, or otherwise share your Referral Link in breach of applicable anti‑spam, electronic communications, or data protection law, or the rules of the service on which you share it;
8.1.4. purchase paid search, keyword, or other paid advertising that uses “Toloka,” “Mindrift,” or any similar term, or otherwise promote your Referral Link through paid advertising, unless Toloka has approved it in writing;
8.1.5. use Toloka’s or Mindrift’s names, logos, or trademarks, or create any website, social media account, or other material, in a way that states or implies that you are Toloka, act on behalf of Toloka, or are endorsed by Toloka;
8.1.6. make false or misleading statements about the Toloka Platforms, including about the availability of Tasks, Payment rates, or potential earnings, or state specific earnings amounts, or guarantee any level of earnings or access to Tasks;
8.1.7. offer or give anything of value to any person to register through your Referral Link, or require or accept any payment, or any share of any Payment or Referral Reward, from any person;
8.1.8. manipulate or attempt to manipulate attribution, including by altering Referral Links or using bots, scripts, fake or automated accounts, or other automated means to generate registrations or to share or post your Referral Link;
8.1.9. disclose any information that is confidential under Section 12 (Confidentiality) of the Terms of Use, including any information about Tasks or Customers, when sharing your Referral Link;
8.1.10. sell, transfer, trade, or otherwise allow any other person to use your Referral Link; pay or otherwise direct any other person to share your Referral Link; share another person’s Referral Link; or post your Referral Link on any website or service whose primary purpose is exchanging referral or promotional codes;
8.1.11. describe the opportunity as employment, a job, or a salaried position, or otherwise state or imply that a Referral will be employed by Toloka or any Customer;
8.1.12. collect any other person’s personal data (including CVs or identity documents) in connection with your Referral Link, or register, complete any Verification, or complete any assessment on behalf of any other person;
8.1.13. participate in any arrangement in which persons register, or are recruited to register, primarily to generate Referral Rewards, including coordinated, reciprocal, or collusive referral arrangements;
8.1.14. access, use, or control any Referral’s account, or perform Tasks for or on behalf of any Referral;
8.1.15. manage, supervise, direct, or pay any Referral in connection with Tasks, or operate as a recruiting or staffing intermediary;
8.1.16. share any assessment content, questions, or answers;
8.1.17. direct your Referral Link at persons located in Restricted Jurisdictions;
8.1.18. share your Referral Link on or in connection with content that is unlawful, hateful, sexually explicit, or otherwise harmful; or
8.1.19. otherwise engage in any conduct that Toloka determines, in its good faith and reasonable discretion, constitutes abuse or manipulation of the Referral Program.
8.2. Public Sharing. You may share your Referral Link publicly, including on social media, websites, and online communities, provided that you: (a) do so in your own name; (b) do not state or imply that you represent, act on behalf of, or are endorsed by Toloka; and (c) clearly and conspicuously disclose, in the same language as your post, that you may receive a Referral Reward if someone registers through your link. You are responsible for all content you post with your Referral Link.
8.3. Toloka may investigate any suspected breach of this Section 8 and take any measures described in Section 2.2 (Investigation and Enforcement) of the Terms of Use and Section 9 of these Program Terms.
8.4. Takedown. Toloka may require you to edit or remove any post or other material containing your Referral Link that Toloka determines, in its good faith and reasonable discretion, does not comply with these Program Terms. You must do so within [2] business days after Toloka’s request, and failure to do so is a breach of these Program Terms.
9. Withholding, Cancellation, and Recovery.
9.1. Toloka may withhold, cancel, or adjust any Referral Reward, whether or not it has accrued, to the extent Toloka determines, in its good faith and reasonable discretion, that it arises from or relates to: (a) a breach of these Program Terms or the Terms of Use by the Referrer or the Referral; (b) fraud, abuse, or misrepresentation; (c) a Task that is rejected, or a Payment that is reversed, cancelled, or determined to be invalid; (d) a technical or calculation error; (e) a sanctions, Verification, or compliance restriction; or (f) a registration that Toloka determines resulted from sharing of a Referral Link in breach of Section 8, whether by the Referrer or any other person.
9.2. Where Toloka withholds a Referral Reward pending an investigation, Toloka will complete the investigation within a reasonable period and will release any amount it determines is properly payable.
9.3. Recovery. If a Referral Reward that has already been paid is subject to cancellation under Section 9.1, Toloka may, to the extent permitted by applicable law, recover the amount by requesting repayment from you or by deducting it from Referral Rewards or Payments otherwise payable to you.
9.4. Toloka will notify you via the Toloka Platforms of any cancellation, adjustment, or recovery under this Section 9. If you disagree with the decision, you must submit your objections via the Toloka Platforms within 7 calendar days after the notice. Provided your objections have been timely submitted, Toloka will consider them within 14 calendar days and inform you of its decision.
9.5. Fraud and Abuse. If Toloka determines, in its good faith and reasonable discretion, that a Referrer has engaged in fraud, abuse, or misrepresentation in connection with the Referral Program, or has breached Section 8, Toloka may, in addition to any other measure under these Program Terms: (a) cancel all of that Referrer’s unpaid Referral Rewards, whether or not they arise from or relate to that conduct; (b) end the Referrer’s participation in the Referral Program; and (c) take any measure available under the Terms of Use, including under Section 2.2 (Investigation and Enforcement) and Section 16.3 (Termination by Toloka).
10. Privacy and Information Sharing.
10.1. Notice to Referrals. If you register through a Referral Link, the Referrer who shared that link will be informed that you registered through it and of your status in the Campaign, as described in Section 10.2. Toloka will also display this notice to you before you complete registration.
10.2. Information Provided to Referrers. Toloka may provide a Referrer with limited information about the Referrer’s Referrals, such as each Referral’s registration or participation status in the Campaign, identified in a manner that Toloka determines is appropriate to protect the Referral’s privacy, together with the amount of the Referrer’s own Referral Rewards. The form and content of this information may vary depending on the features available on the Toloka Platforms. Toloka will not provide a Referrer with any Referral’s Payments, earnings, Task details, contact details, or Verification results.
10.3. Toloka processes personal data in connection with the Referral Program in accordance with the Privacy Notice and Section 18 (Personal Data; Roles) of the Terms of Use, including to attribute Referrals, calculate and pay Referral Rewards, and detect and prevent fraud and abuse.
10.4. You are responsible for complying with applicable data protection and electronic communications laws when you share your Referral Link with people whose contact details you hold. You must not provide Toloka with any other person’s personal data for the purposes of the Referral Program unless Toloka makes a feature available for that purpose.
10.5. Employee Referral Links. Toloka may make referral links available to employees of Toloka and its affiliates. Registrations through those links are used solely for Toloka’s internal attribution and analytics and do not generate Referral Rewards or any other payment under these Program Terms.
11. Relationship of the Parties.
11.1. Participation in the Referral Program does not create any employment, agency, joint venture, or partnership relationship between you and Toloka or any Customer, or between a Referrer and a Referral. Section 7 (Independent Contractor Status) of the Terms of Use applies to your participation in the Referral Program.
11.2. You have no authority to represent Toloka, to bind Toloka, or to engage any person on Toloka’s behalf, and you must not offer or describe any Task, Payment rate, or other term on Toloka’s behalf. A Referral’s relationship is solely with Toloka under the Terms of Use.
11.3. Participation in the Referral Program is entirely voluntary. Subject only to these Program Terms, you decide whether, when, how, and with whom to share your Referral Link. Toloka does not require any minimum number of referrals and will not supervise or direct the manner or means by which you share your Referral Link.
11.4. You are not responsible for any Referral’s performance of Tasks, which is governed solely by the Terms of Use.
12. Changes, Suspension, and Closure.
12.1. Toloka may change, suspend, or close the Referral Program or any Campaign at any time, including by changing the Campaign Terms that apply to future Referrals. Toloka will provide notice by updating the Campaign Terms or these Program Terms on the Toloka Platforms.
12.2. Any change, suspension, or closure applies only to Referrals who complete registration after it takes effect. Applicable Campaign Terms for previously registered Referrals continue to apply for the remainder of their Reward Period.
12.3. Notwithstanding Section 12.2, Toloka may apply a change to Applicable Campaign Terms where required by applicable law, or in cases of fraud, abuse, or manifest error.
12.4. Section 17 (Changes to These Terms) of the Terms of Use applies to changes to these Program Terms, except that no change will affect Applicable Campaign Terms other than as provided in Section 12.3.
13. Termination.
13.1. You may stop sharing your Referral Link at any time. Referrals already attributed to you will continue to be governed by their Applicable Campaign Terms, provided you continue to meet the requirements of Section 2.
13.2. If the Terms of Use terminate for any reason, no further Referral Rewards will accrue to you. Referral Rewards that accrued before termination will be paid in accordance with Section 7, subject to Section 9.
13.3. Sections 7, 9, 10, 11, and 14 survive any termination of your participation in the Referral Program or of the Terms of Use.
14. General Provisions.
14.1. Disputes. Section 19 (Mutual Arbitration Provision; Alternative Jury Trial Waiver; Governing Law) and Section 20 (Governing Law and Jurisdiction) of the Terms of Use apply to any dispute arising out of or relating to these Program Terms or the Referral Program, as applicable to you under those Sections.
14.2. Notices. Section 21.1 of the Terms of Use applies to notices under these Program Terms.
14.3. Language. The official text of these Program Terms is the English version; versions in other languages are provided exclusively for your information.
